Owens Corning is focused on driving growth (organic and inorganic) in the global building material industry. The Corporate Development and Strategy team is a critical group of influential leaders. It consists of three sub-groups; Corporate Development, Integration Management Office (IMO), and Corporate Strategy & Ventures. The Corporate Development Leader is an integral member of this team and is empowered to partner with the organization’s senior leaders in strategy development and execution of global transactions and initiatives (acquisitions, equity investments, strategic alliances, joint ventures, and divestitures, etc.). This leader is accountable for target sourcing, financial model development, developing presentations materials about the deal, target valuation and for the day-to-day project management of transactions through due diligence.  The Corporate Development leader is intellectually curious, bold, challenges the status quo and is helps to shape M&A capability as OC is becomes a programmatic acquirer.

JOB RESPONSIBILITIES

Know Our Businesses and Enterprise Strategy

  • Understand the strategic direction of the company and our businesses. Develop and execute functional strategies that support and enhance business results both organically and inorganically
  • Build influential relationships across the organization, cross-functionally, key stakeholders and external advisors
  • Understand our customers, what it takes to ensure their success and any implications potential transactions present
  • Represent OC in the highest caliber externally with bankers, targets, etc. and tell the OC story authentically and transparently

 

Develop and Execute Strategy

  • Generate and foster a rich transaction pipeline that accelerates our enterprise and business growth strategies
  • Lead & assist in the evaluation, recommendation, and execution of transactions.
    • Prepare complex financial analyses and models; work with business units and other internal diligence teams to create detailed, bottoms-up driven investment case financial models
    • Perform robust valuation analysis for potential M&A projects
    • Create and execute project plans and timelines during the planning process. Coordinate internal and external resources to support successful execution
    • Identify and escalate key diligence findings as necessary ensuring stakeholder awareness
  • Assist VP of Corporate Development with preparations and presentations with OC executives. Frame up a compelling deal narrative that allows executives to quickly understand the logic and assumptions to enable decision making
  • Build and cultivate a network of internal and external resources (potential targets, bankers, PE, service providers/consultants) to drive early-stage deal priorities and thorough due diligence
  • Ensure seamless hand offs between Corporate Development and the Integration Management Office (IMO) to ensure success integration and value capture

 

Lead M&A Operations

  • Lead the analysis of projects through working closely with the business units and cross-functional leadership
  • Maintain a strong M&A pulse on key industries, markets, target companies to enable OC to take a proactive deal approach
  • Consolidate, synthesize and interpret information to inform key strategic decisions

 

Lead and Develop Talent

  • Create a collaborative team environment where diverse perspectives are valued, team members maximize their full potential and collectively reach peak team performance
  • Promote a culture of continuous learning for self and team. Actively engage in personal development
  • Invest in the growth and development of direct and indirect reports. Create a pipeline of talent eager to join Corporate Development as well as a pipeline of talent to into key roles across the organization. Teach, mentor, coach and provide transparent two-way feedback and recognition.
  • Manage workload to ensure performance and deliverables are aligned to strategic initiatives and priorities

 

JOB REQUIREMENTS

MINIMUM QUALIFICATIONS

  • Bachelor’s degree in finance, accounting, economics or related degree; MBA preferred 
  • 5 to 10 years work experience, A blend of experience across Investment Banking, transaction services and/or Management Consulting working in an M&A capacity, corporate development, or other relevant experience in Fortune 500 company

 

EXPERIENCE

  • Experience in a multi-national corporation in a corporate setting desirable
  • Demonstrated rate of growth and success in prior roles creating and leading high performing teams
  • Change leadership experience and/or complex project leadership experience
  • Experience leading executive-level business communication
  • Demonstrated ability to function in a highly matrixed structure across functional, business, geographic and cultural boundaries

 

KNOWLEDGE, SKILLS and ABILITIES

  • Strong financial and business acumen; quantitative skills, financial analysis, and valuation skills
  • Possesses M&A technical knowledge (experience with DCF; LBO, IRR, ROIC, comparable analysis)
  • Strong networking and negotiation skills
  • Exceptional Microsoft Excel, PowerPoint, and Word capabilities
  • Demonstrated ability to be successful in a fast-paced and dynamic, team-oriented environment
