PURPOSE OF THE JOB
The Corporate Paralegal supports a broad and evolving range of legal and corporate functions, including corporate governance, SEC reporting, treasury, tax, business operations, and corporate development. This role serves as a flexible, solutions-oriented partner to attorneys and cross-functional teams supporting transactions, ensuring compliance, and maintaining accurate corporate records.
Reports To: Director, Mergers & Acquisitions
Span of Control: No direct reports
JOB RESPONSIBILITIES
Corporate Transactions
- Support mergers, acquisitions, joint ventures, and strategic transactions as needed
- Coordinate diligence materials and manage data rooms
- Assist with closing processes, including execution and document organization
- Track post-closing obligations and integration follow-up
- Assist with financing transactions, including debt issuances and credit agreements
Business & Operational Support
- Provide legal support to business teams on routine corporate matters
- Assist with contract organization, tracking, and administrative processes
- Support cross-functional legal projects and process improvements
SEC & Public Company Reporting
- Assist with preparation and filing of SEC reports, including Forms 10-K, 10-Q, 8-K, and proxy statements
- Maintain disclosure support materials and backup documentation
- Support Section 16 filings and insider transaction reporting
- Coordinate signatures, EDGAR filings, and document retention
Role Scope & Flexibility
- This role is designed to provide broad exposure across corporate legal activities and to evolve with the needs of the business and responsibilities may shift over time
JOB REQUIREMENTS
MINIMUM QUALIFICATIONS:
- Bachelor’s degree and/or Paralegal studies degree
- Minimum of 5 years of experience in a corporate legal department or law firm, with exposure to corporate governance, securities reporting, and/or transactional work
KNOWLEDGE, SKILLS & ABILITIES:
- Team player and self-motivated with strong project management and follow-up skills
- Strong communication (written/verbal) skills
- Ability to work cross-functionally with corporate function and business teams
- Strong active listening skills
- Flexible and able to prioritize in accordance with changing needs and time constraints
- Proven drafting, proofreading and editing skills, with strong attention to detail
- Proven ability to work independently and multi-task in a fast-paced environment
- Openness to learn and leverage technological solutions
- Demonstrated learning agility and intellectual curiosity to explore new areas of corporate law and business operations
- Excellent problem solving and analytic ability
- Strong judgment and ability to escalate appropriately
