JOB DESCRIPTION:

 

The NDA Paralegal is primarily responsible for managing OC’s exchange of confidential information with external parties through the global process of receiving requests for and executing the company’s Non-Disclosure Agreements (NDA).  The successful candidate will also collaborate with the Contract Administrator and across Legal Operations to support compliance with OC’s Levels of Authority Policy and related controls.  The successful candidate will be expected to continuously identify opportunities to improve processes that promotes and ensures pragmatic, effective, efficient, and sustainable NDA and contract management processes.   

 

This position reports to the Legal Operations Lead.

 

RESPONSIBILITIES:

 

Essential and other important responsibilities and duties may include, but are not limited to, the following:

  • Work closely with the legal team to review, draft, and negotiate NDAs
  • Deliver exceptional customer service to internal partners, teams, and customers
  • Utilize various tools that support the receiving, processing, and execution of NDA requests, including Icertis Contract Management, MS Office and any new technologies that improve efficiency
  • Develop and revise timelines, procedures and training that support compliance with the NDA process, including when, why, and how NDAs are used
  • Define, analyze, and monitor performance metrics to ensure accurate, efficient, and timely processing of NDA requests
  • Coordinate and gather information, materials, documents, and reports which are necessary to respond to inquiries
  • Assist in training and advising regional partners to ensure global compliance of NDA and contract administration
  • Utilize workflow tools to obtain appropriate corporate approvals and ensure intended OC signer is authorized
  • Assist employees in their understanding of the Levels of Authority Policy
  • Track and remediate policy and process violations as appropriate
  • Assist in periodic audits to verify that all required contracts are in the Contract Management  system and in compliance with corporate policy; ensure timely remediation of failures identified during audit testing
  • Prepare reports, metrics, correspondence, and memoranda as identified, needed, and required
  • Collaborate with the Global Compliance team in corporate policy management and various other compliance efforts
  • Work with and occasionally take on additional tasks as needed by Legal Operations

 

JOB REQUIREMENTS:

 

Education & Experience:

  1. Post-secondary paralegal certification/ degree or 5 Years equivalent paralegal experience required
  2. Bachelor’s degree - Preferred
  3. Project Management - Preferred

 

Knowledge, Skills, and Abilities:

  1. General knowledge of legal terminology and principles
  2. Expertise using contemporary office technology, equipment, and applications, including SaaS/Cloud systems, Microsoft 365 (Word, Excel, Outlook, Access, etc.)
  3. Demonstrated ability to utilize technical information to make independent decisions and make recommendations to attorneys and internal customers
  4. Expertise in legal research and analyzing and reviewing legal documents resulting in an error free end product
  5. Demonstrated ability to timely create and execute action plans across multiple projects
  6. Demonstrated ability to communicate effectively both verbally and written
  7. Demonstrated ability to provide high level support to various stakeholders across a heavily matrixed global organization
